Position Description:

Reporting to the General Counsel, the Corporate Counsel will be exceptionally well organized, and have a pragmatic and professional nature with a high energy level. This individual will be primarily responsible for providing advice and guidance for corporate securities and disclosure law matters and will support the Law Department in other areas including operations, transactions and litigation.

Responsibilities:

  • Primary responsibility for preparation and review of continuous disclosure documents and securities filings, including AIF filings, information circulars, news releases, MD&A, investor presentations and NI 43-101 technical reports
  • Provide advice, make recommendations and develop policies and procedures relating to disclosure obligations and corporate compliance for a public mining company with a global portfolio
  • Provide advice, prepare and negotiate contractual agreements relating to confidentiality agreements, commercial contracts, financings, credit facilities, acquisitions, dispositions, and other commercial transactions
  • Coordinating activities of outside counsel, preparation of budgets and ongoing monitoring of costs
  • Other duties as assigned
Qualifications:

  • Approximately 5-9 years post call corporate/securities law experience with a top law firm or a major public company required
  • Bar admission in Ontario and/or New York required
  • Highest standards of personal integrity required
  • Open and honest communicator capable of quickly earning trust and creating transparent relationships across geographical boundaries and time zones required
  • Detailed understanding of the workings of a dual-listed company (USA-Canada) and associated disclosure and reporting requirements, including MJDS and NI 43-101 required
  • Comfortable engaging in a wide range of other legal issues and disciplines including corporate commercial, mergers & acquisitions, regulatory, compliance and corporate governance required
  • Strong business acumen and able to quickly analyze complex situations, determine key issues, and prepare and implement clearly defined solutions required
  • Demonstrated ability to work with initiative and creativity when managing multiple projects, under constant deadline pressure and limited supervision preferred
  • Spanish and/or French proficiency preferred
