Senior Corporate Counsel, Commercial

This role is part of the Rio Tinto Commercial Legal team, reporting to the General Counsel, Commercial. The role will support the integrated model providing legal support for Sales & Marketing as well as Procurement teams in the Atlantic region primarily, but is also expected to work with the global teams based in Singapore and Australia. This role will also serve as the Team Leader for the Commercial Legal team in the Atlantic region (Montreal, Chicago, Salt Lake City and South Africa).

This role requires innovative solutions to the variable and often complex stakeholder issues arising at all levels of the value chain. Individual precedents to deal with any given circumstance are rare so the ability to take components of many past solutions and apply appropriately to each instance is key. The role is required to use superior judgment, cultural sensitivity and negotiation skills on the best process forward to achieve the desired outcome.

Key accountabilities for the role include:

· Providing advice and assistance in managing legal matters and risks facing Rio Tinto and its businesses, including Rio Tinto Commercial in the Atlantic region in particular;

· Understanding the needs of the product groups and managing the interface with Commercial legal expertly and proactively.

· Solid and clear analysis of legal risks and providing timely, accurate, independent and commercially focussed legal advice;

· Providing legal advice and assistance to senior management in relation to the range of commercial activities;

· Cost effective management of external legal resources;

· Maintaining acute awareness of all material internal and external legal and business developments, and quickly identifying and escalating issues as required;

· Drafting and negotiation of complex legal transactions across the business;

· Developing and training on documentation required for transactions;

· Liaising, developing and maintaining close working relationships with the Rio Tinto Legal team globally and the Rio Tinto business units and corporate functions (including Ethics & Compliance) and promoting collaboration and information sharing;

· Assisting Rio Tinto and its businesses with the maintenance of legal compliance frameworks to ensure that legal, regulatory and corporate requirements are met;

· Facilitating change by understanding the principles and impact of that change, and acting accordingly.

· Maintaining RT business reputation within industry.

· Keeping up to date with Legal updates to be able to deliver within one's area to achieve individual and organisation results through collaboration and Living the Values (Behaviour, Performance and development).

· Assisting with due diligence exercises by evaluation of commercial opportunities to improve the regional portfolio.

· Applying best practice for the discipline by adhering to the commercial standards within the

District or country

A key component of this role is leadership. The role is expected to lead a strong team of lawyers in the Atlantic region. As a leader, the expectation is that the role will further develop and strengthen the team's existing capabilities and be a strong role model.

With a requirement to provide prompt, commercial, practical and complex and/or specialist legal advice, the successful candidate should have:

· Admission to practice as an attorney in the United States;

· 12 years post-qualification experience including strong corporate experience at a leading North American law firm or equivalent.

· Commercial awareness and a practical common-sense approach;

· Strong communication and inter-personal skills;

· Proven ability to work independently as well as demonstrated ability to work collaboratively within a matrix organisation;

· Proven leadership skill and ability to manage a strong team

· Excellent inter-personal skills
