Job Summary 

The Legal Assistant will report to General Counsel and will provide support to the legal team with tasks including, but not limited to, corporate record maintenance for the company’s various subsidiaries, including the preparation of applicable compliance documents, assisting with the company’s quarterly and year-end filings, managing the company’s share-based compensation platform, assisting with regulatory filings, including with state, provincial and federal governments, securities regulators and the TSX and NYSE American, and assisting with time sensitive projects, including the implementation of the company’s employee share purchase plan.  

Responsibilities 

  • Manage the company’s Shareworks platform, including the management of records, and assisting personnel with using the platform.  
  • Update, maintain and track the company’s share capital records, including preparing weekly reports to Management and Finance team members on the capital activity of the company. 
  • Manage the exercise of warrants and coordinate with the company’s transfer agent, brokers and security holders regarding the same. 
  • Manage the removal of restrictive legends for US security holders and coordinate with the company’s transfer agent, brokers and security holders regarding the same. 
  • Maintain the corporate minute books for company and its subsidiaries. 
  • Assist with preparing materials to be provided to the Board of Directors and Committee members, including uploading and publishing documents on the Diligent website. 
  • Manage the calculation and payment of the company’s director compensation on a quarterly basis, including assisting with the grant and management of deferred share units. 
  • Maintain the Legal team calendar and scheduling of events, such as filing deadlines and bring forward dates. 
  • Draft disclosure committee checklists according to news releases event for the company. 
  • Mail quarterly financial statements to shareholders. 
  • Draft and coordinate circulation of grant letters to personnel as part of the company’s Long Term Incentive plan, including restricted share units. 
  • Prepare and disseminate notices regarding trading blackout periods to the business. 
  • Assist with the preparation of the Legal Team’s annual budget. 
  • Coordinate the execution of legal documents. 
  • Assist the General Counsel and Associate General Counsel with translation of contracts, correspondence and policies. 
  • Support the General Counsel and Associate General Counsel in all related tasks and duties. 

Skills/experience 

  • Proficient in the use of the Shareworks platform to facilitate the management of the company’s share-based compensation plans. 
  • Proficient in the management and filing of insider reports via SEDI. 
  • Proficient in the management and filing of TSX reporting. 
  • Proficient in the use of Computershare’s Issuer Online Portal. 
  • Proficient in the preparation and filing of various online annual reporting in the US and Canada. 
  • Proficient in use of Diligent Board Platform. 
  • Advanced Microsoft Excel skills. 
  • Familiarity with mine operations and technical mining terminology an asset. 
  • Spanish or Portuguese fluency an asset  

Compensation and Benefits 

This is a full-time permanent position. 

Salary range: $65,000 to $75,000 per year plus discretionary bonus and benefits.
