Ero Copper Corp., a Canadian base metal mining company with operations and a large land position in Brazil, has an immediate opening for legal counsel.

The successful candidate will be based out of our Vancouver office, will report directly to and work closely with the VP, General Counsel and Corporate Secretary, and will be responsible for providing high quality and timely legal advice with respect to corporate and commercial matters relating to Ero Copper’s global operations. Effective communication, self-motivation and the ability to work within an entrepreneurial team environment are essential requirements for this position.

Key duties and responsibilities include, but are not limited to:

  • providing timely, proactive and solution-oriented legal advice on a wide range of corporate, commercial and other matters both internally and externally ensuring compliance and mitigating risk;
  • negotiating, drafting, reviewing and providing legal advice in relation to a wide range of contracts with strategic partners, suppliers and vendors;
  • assisting with the preparation and review of public disclosure materials including financial statements, MD&A, annual information forms, management information circulars and news releases;
  • managing transactions including M&A and financings;
  • working closely with the corporate development team on potential transactions, conducting due diligence and legal research to provide recommendations and contributing to risk analysis;
  • assisting with corporate governance and ensuring best practices;
  • keeping abreast of changes in applicable laws and regulatory requirements; and
  • coordinating and liaising with external counsel.

Education and professional skills/knowledge required:

  • LL.B or J.D degree (or equivalent) and member in good standing with the Law Society of British Columbia (or the law society of another Canadian jurisdiction);
  • 3+ years of corporate and commercial experience at a top-tier law firm or company;
  • strong background in corporate and commercial law, including extensive experience reviewing, drafting and negotiating complex commercial contracts;
  • exceptional interpersonal and leadership skills, including the ability to work confidently in a fast-paced environment and adapt to changing priorities;
  • successful track record of managing complex transactions, with a strong business acumen and sound judgment, including a demonstrated ability to balance the provision of legal counsel with the achievement of business objectives;
  • strong ability to advise on the legal risks associated with business operations; and
  • willingness to engage in some travel when necessary.
