About this role

  • Provides paralegal support of transactional matters, general corporate matters, subsidiary management and governance, board administration and public company compliance.


Your role will consist of

  • Support in connection with corporate transactions, including mergers, amalgamations, dissolutions, dividend distributions, share subscriptions and related matters
  • Manage due diligence requests, document collection and tracking, and preparation of closing binders as requested
  • Coordinate collection of signatures and finalization of execution versions of documents
  • Support of subsidiary corporate governance and entity management, including subsidiary-level transactions, entity rationalization project, and subsidiary documentation, including corporate document production, signature collection, and electronic storage. Assist with Gems database data entry and document uploads
  • Preparation of various corporate governance documents, including organizational and formation documents, corporate resolutions, officer's certificates, incumbency certificates, minutes, powers of attorney and any other legal documents
  • Coordination of corporate filings for numerous subsidiaries in various jurisdiction, and related maintenance of corporate records and legal files
  • Assist with the preparation and posting of Board meeting materials in Diligent and support of Corporate Secretary Group in connection with Board and Committee meetings
  • Assist with preparation of annual shareholder meeting preparation and other meeting coordination
  • Assist with response to shareholders, transfer agent and other legal inquiries
  • Respond to requests for information and perform legal research
  • Effectively support and assist attorneys, peers and clients; time-permitting, cross-train to learn and assist/cover for other paralegals as needed

Your training, skills, and experience checklist

Knowledge:
  • Position requires strong paralegal experience with heavy emphasis in the corporate transactions and governance areas.
  • Both domestic and international subsidiary transaction and management experience preferred.
  • Bachelor's degree preferred. Directly-related experience and/or Paralegal Certification may be substituted for degree.

Experience:
  • Minimum of 5-10 years or more corporate paralegal experience.

Skills and Abilities:
  • Registered Notary in Colorado.
  • Strong computer skills, with proficiency with Word, Excel and Power Point is required.
  • Experience using board portals (such as Diligent), entity management databases (such as GEMS), legal data room platforms and document management and records platforms is preferred.
  • Proven ability to work effectively in independent settings. Excellent multi-tasking ability. Detail oriented with excellent analytical, time management, and interpersonal skills.
  • Ability to identify and resolve or escalate issues in a timely manner and manage multiple projects. Willingness to provide assistance and support to other paralegals and members of the legal department.
  • Team player with ability to collaborate and work well with others in a high-volume, fast-paced working environment.
  • Ability to communicate effectively with a variety of business partners, including peers, outside attorneys, senior management, etc.


Working conditions and location

  • The position is based in the Denver corporate office; a mixture of in-office and at-home work is anticipated consistent with the company's hybrid work model.
  • Minimal travel may be required.


The salary range offered for this role is $100,000 - 120,000. The salary range is tied to the Colorado market for jobs performed in Colorado. The salary offer to the successful candidate will be based on job-related education, training, and/or experience. The salary offer will not be based on a candidate's salary history at other jobs, and by law, Newmont will not seek information about salary history, and candidates should not share such information with Newmont.

This role will be eligible for participation in a discretionary annual bonus program, pursuant to which an employee may be awarded a percentage of their salary based on the company's performance and their own individual performance.
