SNC-Lavalin is seeking a senior lawyer with strong Engineering, Procurement, Construction and Operations & Maintenance contracts experience who is working for a leading law firm and / or who has relevant in-house legal experience. The Director Legal will be working on a variety of matters including contract and risk reviews, setting up complex partnering arrangements, assisting project teams and the internal dispute resolution legal team with claims and disputes, advising on and conducting contract negotiations, assisting with live project issues and work with a variety of key stakeholders across our businesses.

This is a permanent role, reporting into the Senior Vice President Legal for Major Projects. This is an exciting opportunity for a dynamic and collaborative lawyer to join an inclusive, collaborative and supportive team focusing on being trusted advisors; providing pro-active, commercial, strategic legal advice and outstanding client service to their internal clients; as well as the development of its team members.

The position is a flexible mixture of home and office-based working with travel as required.

Responsibilities:
  • Assisting the Major Projects team with pursuing projects in Canada and the other regions where we operate, particularly the US and UK. Drafting and reviewing a wide variety of major project contract documents, including project agreements, construction agreements, professional services agreements, operations & maintenance agreements; subcontracts, bespoke and standard form agreements, collaborative contracts (including Alliance and other collaborative agreements) and other ancillary documents such as NDAs, parent company guarantees and other forms of security.
  • Advising on all manner of collaboration agreements, including MOUs, teaming agreements, joint venture and other partnering agreements.
  • Assisting the Major Projects Team with the closing out of various Lump Sum Turnkey Projects and supporting the team and the internal dispute resolution team with evaluating and managing claims and disputes.
  • Liaising with and assisting in managing external counsel on litigation and other matters, including large and complex non-contentious matters.
  • Assisting in various ad-hoc matters such as intellectual property, competition and procurement law issues.
  • Liaising with other corporate functions (Tax, Treasury, Insurance, Corporate Secretary, Integrity, and Audit and Project Oversight.
  • Assistance with the drafting, development and maintenance of standard terms and conditions, templates, playbooks and practice notes.
  • Training colleagues within the business on legal matters, including recent development in Construction, Engineering, Operations & Maintenance and Procurement law.
  • Liaising with and collaborating closely in an integrated fashion with colleagues from Commercial function.
  • Key contributor to risk management strategies.
  • Attending various meetings, including commercial risk reviews; bid go/no go meetings and various project and business reviews.
  • Attending in person meetings across Canada as and when required.
  • Develop and maintain collaborative relationships across the company and contribute to cross-functional or departmental projects and teams.
  • Act in accordance with Company policies, including, for example, the Code of Business Conduct and Ethics and ensure policies are understood and followed by direct reports, if any.

Requirements:
  • Member in good standing of a Law Society.
  • Deep experience in the following areas: construction, engineering services, operations & maintenance, major projects, procurement, commercial contracts, construction claims and disputes ("Relevant Experience").
  • Excellent drafting skills and attention to detail.
  • Sound legal and commercial judgement.
  • Proven ability to provide timely, sound and practical legal advice in a demanding, fast-paced and multidisciplinary environment.
  • Great communication skills and the ability to deal with internal and external clients all levels, including executive management.
  • Highly developed emotional intelligence.
  • Organized, self-motivated and autonomous and the ability to manage a large portfolio of work with various competing priorities.
  • Creative strategic mindset with a highly developed practical and strategic business and legal sense.
  • Accountability, sound judgment, pragmatic business acumen and the ability to take ownership of an issue and provide concise and timely advice.
  • Excellent interpersonal skills and a professional client service orientation towards internal and external stakeholders.
