Job Overview

Are you a recent graduate looking to make a move into the Corporate Law? We have an exciting opportunity for a Junior Associate Attorney to join our growing legal team! We are looking for an attorney with 2-5 years' experience with either firm or corporate legal experience. The role will primarily be based in Rolling Meadows, IL, but also partner very closely with our legal team based in Milwaukee, WI. Check out the details below for more information.


  • Review and advise on commercial contracts consistent with corporate policy and practice;
  • Prepare and negotiate confidentiality, product development, manufacturing and/or IP licensing agreements, including software license agreements;
  • Advise various business units regarding product quality and/or regulatory issues, including appropriate warning labels and product corrective actions;
  • Review and advise on various IP matters, such as marketing materials, product manuals, press releases, trademarks, patents and infringement actions;
  • Manage outside counsel on a variety of commercial, litigation and human resources matters as needed;
  • Provide legal advice, training and support on variety of corporate compliance matters, including Komatsu's Worldwide Code of Business Conduct, the FCPA, and other country-specific anti-corruption laws, data privacy laws; and antitrust law;
  • Review and advise on real estate matters, such as leases, development, purchase and/or sale transactions, and provide support on environmental and other real estate issues; and
  • Other duties as assigned.

Education / Qualification

  • Candidate should have [2]-[5] years legal experience, preferably including both law firm and in-house experience.
  • Admitted to WI or IL state bar.
  • Contract drafting and negotiating experience is required, as are excellent written and verbal communications skills.
  • Functional knowledge with MS Office Suite (esp Outlook, Word, Excel, and Powerpoint) and O365 is expected.
  • Prior experience with M&A, international law, and/or data security would be a plus.
  • The successful candidate must be a business-focused attorney with the highest ethical standards who can prioritize and handle multiple tasks successfully.
  • Candidate must also be a self-starter and team player, able to work well within a culturally-diverse organization. Domestic travel will be required.
